IMPORTANT — READ BEFORE USING THIS PLATFORM. By accessing or using ParalegalSkills.ca (the “Platform”), including any AI skill files, templates, prompts, or generated content made available through it, you (“User,” “you”) agree to be bound by these Terms of Service and Disclaimer (the “Terms”). If you do not agree, do not use the Platform.

1. What This Platform Is

ParalegalSkills.ca provides instructional files, prompt templates, and workflow guides (collectively, “Skill Files”) designed to be used with third-party generative AI tools (including but not limited to Claude and ChatGPT). Skill Files instruct an AI assistant on how to draft, structure, or analyze documents related to specific legal practice areas within the scope of Ontario paralegal practice.

The Platform does not itself practice law or provide legal services. It is a productivity and drafting-assistance tool. Any output generated using a Skill File (a “Generated Output”) is the product of a third-party AI system responding to a prompt, not the independent professional judgment of a lawyer, paralegal, or the Platform.

2. No Legal Advice; No Professional Relationship

2.1 Nothing on the Platform, in any Skill File, or in any Generated Output constitutes legal advice, legal opinion, or a substitute for advice from a licensed lawyer or licensee of the Law Society of Ontario (“LSO”).

2.2 Use of the Platform does not create a lawyer-client relationship, a paralegal-client relationship, or any other professional or fiduciary relationship between you and ParalegalSkills.ca or its owner(s).

2.3 If you are a licensed paralegal or lawyer, the Platform is a drafting aid only. You remain solely responsible for exercising independent professional judgment, complying with your professional obligations, and supervising any work product before it is relied upon, filed, or communicated to a client or tribunal.

2.4 If you are a self-represented individual, you are strongly encouraged to consult a licensed paralegal or lawyer before relying on any Generated Output for a legal matter.

3. Mandatory Verification — No Reliance Without Review

Generated Output may be incomplete, outdated, or wrong. It must never be filed, sent, relied upon, or acted on without independent human review and verification. This includes, without limitation:

  • Court and tribunal forms (e.g., Small Claims Court, LTB, HRTO, POA)
  • Deadlines, limitation periods, and notice periods
  • Fees, fines, monetary limits, and damages figures
  • Statutory and regulatory citations
  • Guideline tables (e.g., child support guideline amounts)
  • Scope-of-practice determinations

Laws, tribunal rules, forms, and regulatory figures change without notice. AI systems can also produce plausible-sounding but inaccurate content (“hallucinations”). You are solely responsible for independently verifying every material fact, figure, citation, deadline, and legal conclusion against current, authoritative, official sources (e.g., legislation.gov.on.ca, justice.gc.ca, tribunalsontario.ca, LSO By-Laws, CanLII) before any use.

4. Scope of Practice Is Your Responsibility

Some Skill Files include scope-of-practice screens or warnings intended to flag matters that may fall outside authorized paralegal scope under LSO By-Law 4 (e.g., certain family law matters outside the Family Legal Services Provider licence, matters implicating the Criminal Code). These screens are a drafting aid only and are not a substitute for your own scope-of-practice determination. You are solely responsible for determining whether a matter is within your licensed scope of practice, and for complying with all applicable LSO rules, by-laws, and licensing conditions. ParalegalSkills.ca accepts no responsibility for unauthorized practice of law or paralegal misconduct arising from use of the Platform.

5. Prohibited Misuse

You agree not to:

  • Represent Generated Output as having been reviewed or approved by a licensed lawyer or paralegal when it has not
  • Use the Platform to provide legal services outside your licensed scope of practice
  • File or submit Generated Output to a court, tribunal, or third party without independent verification
  • Represent the Platform itself as a licensee of the LSO or as providing legal services
  • Rely on the Platform as a complete substitute for legal research, professional judgment, or supervision

ParalegalSkills.ca reserves the right to suspend or terminate access for any use that appears to violate these Terms or applicable law or regulatory rules.

6. Disclaimer of Warranties

The Platform and all Skill Files and Generated Output are provided “as is” and “as available,” without warranty of any kind, express or implied, including without limitation warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Generated Output will be accurate, current, or suitable for any particular matter.

7. Limitation of Liability

To the maximum extent permitted by law, ParalegalSkills.ca, its owner(s), officers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, clients, or data, or any damages arising from: (a) errors or omissions in any Skill File or Generated Output; (b) reliance on Generated Output without independent verification; (c) missed deadlines, incorrect filings, or regulatory non-compliance; or (d) professional discipline or malpractice claims arising from your use of the Platform. Our total aggregate liability for any claim arising from your use of the Platform will not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless ParalegalSkills.ca and its owner(s) from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your reliance on Generated Output, or your violation of these Terms or any applicable law or professional regulatory obligation.

9. Third-Party AI Tools

Skill Files are designed for use with third-party AI platforms (e.g., Claude, ChatGPT). We do not control, and are not responsible for, the outputs, availability, accuracy, or policies of those third-party tools.

10. No Storage of Client Information

Skill Files are instruction sets that extend the functionality of third-party AI tools (e.g., Claude, ChatGPT) — they are not a case management system, database, or hosting platform. ParalegalSkills.ca does not collect, receive, transmit, process, or store any client information, case details, or Generated Output that you enter into or generate using a third-party AI tool. Any client or matter information you input is submitted directly into the third-party AI platform you have chosen to use, and is subject solely to that third-party’s own privacy policy, terms of use, and data handling practices — not ours.

You are solely responsible for:

  • (a) selecting an AI platform appropriate for handling confidential or privileged client information (including compliance with your professional confidentiality obligations under the LSO Rules of Professional Conduct);
  • (b) reviewing and complying with that third-party’s privacy and data retention terms; and
  • (c) obtaining any client consent required before inputting client information into a third-party AI tool.

11. Intellectual Property

Skill Files, templates, and platform content are the property of ParalegalSkills.ca and licensed to you for your own use in accordance with your subscription tier. Redistribution, resale, or sublicensing of Skill Files without written permission is prohibited.

12. Subscription, Termination & Changes

We may modify these Terms, Skill Files, or pricing at any time; continued use after changes constitutes acceptance. We may suspend or terminate your access for breach of these Terms. Subscription billing terms are set out at checkout.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

14. Acknowledgment

By using the Platform, you acknowledge that you have read and understood this Disclaimer, that Generated Output requires independent professional verification before use, and that you assume full responsibility for any use of the Platform.
